These Terms of Service (“Terms”) govern access to and use of the QwikCoach website, applications, and services, including AskAI (collectively, the “Service”), owned and operated by E-Coach Associates, Inc (“QwikCoach,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. The Service
QwikCoach provides coaching-based tools, educational content, and AI-assisted experiences designed to support leadership development, professional growth, skill building, and reflective learning.
AskAI is an AI-enabled coaching support tool that delivers guidance based on coaching principles, curated content, and structured frameworks.
2. Coaching Scope & Use
Coaching-Based Decision Support Only
AskAI provides coaching-based decision-support and educational guidance intended to help users think, reflect, learn, and develop skills.
AskAI does not provide prescriptive, authoritative, or professional advice, and should not be relied upon as a substitute for independent judgment.
Not Professional Advice
AskAI is not a substitute for and does not provide:
- Human Resources (HR) advice or policy interpretation
- Legal advice, legal opinions, or compliance determinations
- Medical, psychological, psychiatric, or mental health diagnosis or treatment
- Crisis intervention or emergency services
Nothing provided through the Service should be interpreted as professional advice in these domains.
No HR or Employment Authority
AskAI does not provide guidance related to:
- Hiring or termination decisions
- Compensation or promotion decisions
- Disciplinary actions
- Performance evaluations
- Interpretation or enforcement of employment law or internal HR policies
Any employment-related decisions remain the sole responsibility of the user and/or their organization.
User Responsibility and Non-Reliance
Users acknowledge and agree that:
- AskAI supports thinking and learning, not decision-making authority
- Users remain solely responsible for their actions, decisions, and outcomes
- Users should not rely solely on AskAI outputs for material decisions, including employment, legal, medical, or financial decisions
QwikCoach is not responsible for actions taken based on use of the Service.
No Professional or Fiduciary Relationship
Use of the Service does not create any fiduciary, advisory, therapeutic, clinical, legal, medical, employment, or professional services relationship between the user and QwikCoach.
Organizational Use and Responsibility
When the Service is used within an organization, the organization remains responsible for:
- Ensuring use complies with applicable laws and regulations
- Ensuring compliance with internal policies, governance standards, and codes of conduct
- Determining appropriate use cases and limitations for employees or contractors
QwikCoach does not monitor or enforce organizational compliance through the Service.
3. Eligibility and Accounts
You must be at least 18 years old to use the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4. Acceptable Use
You agree not to:
- Use the Service for unlawful, harmful, or misleading purposes
- Represent AskAI outputs as professional advice
- Attempt to reverse engineer, scrape, or misuse the Service
- Use the Service to make or justify prohibited or discriminatory decisions
QwikCoach reserves the right to suspend or terminate access for misuse.
5. Subscription, Billing, and Cancellation
Subscription terms, pricing, billing cycles, and cancellation policies are disclosed at the point of purchase.
Unless otherwise stated:
- Subscriptions renew automatically
- Users may cancel at any time prior to renewal
- Fees are non-refundable except where required by law
6. Intellectual Property
All content, software, models, and materials provided through the Service are owned by QwikCoach or its licensors and are protected by intellectual property laws.
Users receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
7. Privacy and Data Use
Use of the Service is subject to QwikCoach’s Privacy Policy, which describes how data is collected, used, and protected.
AskAI responses are generated dynamically and should not be considered stored records unless explicitly stated.
8. Service Availability and Changes
QwikCoach may modify, suspend, or discontinue the Service (or any part of it) at any time.
While we strive for reliability, the Service is provided on an “as is” and “as available” basis.
9. Disclaimers
To the maximum extent permitted by law:
- The Service is provided without warranties of any kind
- QwikCoach disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement
10. Limitation of Liability
To the maximum extent permitted by law, QwikCoach shall not be liable for:
- Indirect, incidental, consequential, or special damages
- Loss of profits, data, or business opportunities
- Decisions or actions taken by users based on the Service
QwikCoach’s total liability shall not exceed the amount paid by the user in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless QwikCoach from claims arising out of:
- Your use of the Service
- Violation of these Terms
- Violation of laws or third-party rights
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of New York, without regard to conflict-of-law principles.
