These App Terms of Use (“Terms”) govern your access to and use of the QwikCoach mobile application and related services (collectively, the “App” or “Services”), provided by QwikCoach, c/o E-Coach Associates, Inc., 626 RXR Plaza, 6th Floor, Uniondale, NY 11556 (“QwikCoach,” “we,” “us,” or “our”).
By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. Eligibility
QwikCoach is intended only for adults and workplace users. You may use the App only if you are legally able to enter into a binding agreement and are not prohibited from using the App under applicable law.
The App is not intended for minors.
2. Nature of the Service
QwikCoach provides AI-supported coaching, prompts, guidance, and related workplace-development functionality.
QwikCoach is intended as a tool to support professional development, workplace skills, reflection, and related coaching use cases. QwikCoach does not provide legal advice, medical advice, mental health treatment, therapy, crisis counseling, financial advice, or other licensed professional services.
You are solely responsible for evaluating any output, recommendation, or guidance generated through the App before relying on it.
3. Account Registration and Access
To use some or all features of the App, you may be required to create an account and sign in.
Users may access QwikCoach through:
- Sign in with Apple, or
- a QwikCoach / WordPress-connected login ID
You agree to provide accurate information and keep your account credentials secure. You are responsible for all activity occurring under your account.
You must notify us promptly at [email protected] if you believe your account has been accessed without authorization.
4. Organization, Employer, and Sponsored Accounts
Some QwikCoach accounts may be provided through or associated with an organization, employer, sponsor, or managed deployment.
If your access to QwikCoach is provided through an organization or sponsored arrangement:
- your use of the App may be subject to additional policies or agreements,
- certain account data or coaching content may be visible to authorized administrators, depending on the applicable service arrangement, and
- the organization’s administrative rights may affect provisioning, access, review, retention, or account termination.
If your account is an individual direct account not tied to an organization, your coaching content is generally treated as private within the Service, subject to our Privacy Policy and authorized internal review for support, safety, system verification, training, and quality assurance.
5. Privacy
Your use of the App is also governed by our App Privacy Policy, available at:
By using the App, you acknowledge that we may collect, use, store, and disclose information as described in that policy.
6. User Content
You may submit prompts, messages, reflections, support requests, and other content through the App (“User Content”).
You retain ownership of your User Content, subject to the rights you grant below.
By submitting User Content through the App, you grant QwikCoach a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, modify, transmit, display, and otherwise use that User Content as reasonably necessary to:
- provide and operate the Services,
- generate coaching responses and related output,
- improve prompts, models, and service quality,
- conduct support, safety review, training, system verification, and quality assurance,
- enforce these Terms, and
- comply with law.
You represent and warrant that:
- you have the rights needed to submit the User Content,
- your User Content does not violate applicable law or third-party rights, and
- your User Content does not contain material you are prohibited from sharing.
7. Acceptable Use
You agree not to use the App to:
- violate any law or regulation,
- infringe intellectual property or privacy rights,
- harass, abuse, threaten, or harm others,
- upload malicious code, malware, or disruptive material,
- attempt unauthorized access to accounts, systems, or data,
- reverse engineer, scrape, copy, or exploit the App except as allowed by law,
- use the App to generate unlawful, fraudulent, defamatory, or abusive content,
- interfere with the operation, security, or integrity of the Services.
We may suspend or terminate access for violations of these Terms.
8. AI Output and No Guarantee of Accuracy
The App may generate automated responses, suggestions, summaries, prompts, or other output based on user input and system logic.
You understand and agree that:
- AI-generated output may be incomplete, inaccurate, outdated, or inappropriate,
- outputs may not be unique,
- outputs are provided for general informational and support purposes only, and
- you remain solely responsible for decisions, actions, and consequences arising from your use of the App or reliance on any output.
QwikCoach does not guarantee that any output is correct, complete, reliable, or fit for a particular purpose.
9. Subscriptions and Billing
Certain features of the App may require a paid subscription.
Apple In-App Purchase
If you subscribe through Apple, payment will be charged to your Apple ID account upon confirmation of purchase.
Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate then in effect.
You can manage and cancel subscriptions through your Apple account settings after purchase.
If a free trial is offered, any unused portion of the free trial period, if applicable, will be forfeited when you purchase a subscription, where applicable under Apple’s rules.
Subscription Access
We may use Apple and related subscription-management services, including RevenueCat, to validate subscription status and manage premium access.
Changes to Pricing
We may change subscription pricing or plan structure prospectively, subject to applicable law and App Store rules.
10. No Refunds Except as Required
All purchases made through Apple are subject to Apple’s payment, refund, and cancellation policies. QwikCoach does not directly issue refunds for purchases processed by Apple except where required by law or platform rules.
11. Intellectual Property
The App, including its software, design, text, graphics, branding, functionality, and all related intellectual property, is owned by QwikCoach or its licensors and is protected by applicable intellectual property laws.
Except for the limited right to use the App in accordance with these Terms, no rights are granted to you.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the App except as expressly permitted in writing.
12. Feedback
If you provide feedback, suggestions, recommendations, or ideas regarding the App, you grant QwikCoach a perpetual, irrevocable, worldwide, royalty-free right to use and exploit that feedback without restriction or compensation to you.
13. Service Changes and Availability
We may modify, suspend, discontinue, or update all or any part of the App at any time, with or without notice.
We do not guarantee that the App, or any feature or content, will always be available, uninterrupted, error-free, or secure.
14. Termination
You may stop using the App at any time.
We may suspend or terminate your access to the App, with or without notice, if:
- you violate these Terms,
- your use creates legal, security, or operational risk,
- your subscription expires or is canceled,
- your access is provided through an organization and that organization’s arrangement ends or changes,
- we are required to do so by law.
Upon termination, your right to use the App will end immediately, but provisions that by their nature should survive termination will remain in effect.
15. Disclaimers
THE APP AND ALL CONTENT, OUTPUT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, QWIKCOACH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
WITHOUT LIMITING THE FOREGOING, QWIKCOACH DOES NOT WARRANT THAT:
- THE APP WILL MEET YOUR REQUIREMENTS,
- THE APP WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE,
- OUTPUT OR RECOMMENDATIONS WILL BE ACCURATE OR RELIABLE,
- DEFECTS WILL BE CORRECTED, OR
- THE APP WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QWIKCOACH AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF QWIKCOACH FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO QWIKCOACH OR THROUGH THE APP FOR THE PRIOR TWELVE (12) MONTHS, OR
- FIFTY U.S. DOLLARS (US $50.00).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless QwikCoach and its affiliates, officers, directors, employees, licensors, service providers, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use of the App,
- your User Content,
- your violation of these Terms, or
- your violation of any law or third-party rights.
18. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles, except to the extent superseded by applicable federal law or mandatory local law.
19. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be brought exclusively in the state or federal courts located in New York, and you consent to the jurisdiction and venue of those courts.
If you want, this section can be revised later to add arbitration instead of court litigation.
20. Apple-Specific Terms
If you obtained the App through Apple’s App Store, the following applies:
- These Terms are between you and QwikCoach, not Apple.
- Apple is not responsible for the App or its content.
- Apple has no obligation to furnish maintenance or support services for the App except as required by law.
- In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, in accordance with its policies. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
- Apple is not responsible for addressing claims by you or any third party relating to the App or your possession and use of the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar laws.
- Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the App or your use of the App infringes intellectual property rights.
- You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
- Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
21. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date above. Your continued use of the App after updated Terms become effective constitutes acceptance of the revised Terms.
